Platform Confidentiality & Non-Disclosure Agreement

Please read this document carefully. It affects legal rights and creates binding obligations. Use of the relevant xINDEXHUB services constitutes acceptance as described below.
1. Purpose
This Confidentiality and Non-Disclosure Agreement (“Agreement”) governs the use of confidential information accessed through the xINDEXHUB platform.
By accessing, viewing, downloading, or receiving documents through xINDEXHUB, the receiving organisation agrees to be legally bound by this Agreement.
2. Confidential Information
“Confidential Information” includes trade licences, memoranda of association, VAT registration certificates, tax documents, commercial registrations, insurance certificates, ISO certifications, bank reference letters, financial statements, company ownership information, compliance documentation, contracts, technical documents, internal business documents, any document marked confidential, and any information shared through xINDEXHUB that is not publicly available.
3. Confidentiality obligations
The receiving organisation must keep all Confidential Information strictly confidential; use it solely for the intended business evaluation or relationship; and not disclose it to any third party without prior written authorisation from the document owner.
Access must be limited to employees or professional advisers who have a legitimate business need and are bound by confidentiality duties. The receiving organisation must maintain appropriate administrative, physical, and technical safeguards and prevent unauthorised copying, downloading, distribution, or reproduction.
4. Prohibited activities
The receiving organisation must not forward documents to another company; upload them to another platform; sell, publish, or publicly display Confidential Information; share screenshots or copies; reverse engineer confidential business information; use Confidential Information to compete unfairly; or use documents for any purpose outside the authorised business relationship.
5. Ownership
All documents remain the exclusive property of the uploading organisation. Nothing in this Agreement transfers ownership, intellectual property, copyright, trademarks, or confidential business rights.
6. Limited licence
The document owner grants the receiving organisation a limited, non-exclusive, revocable licence solely to review shared documents for the approved business purpose.
This licence automatically terminates when access is revoked, the authorised business relationship ends, the documents expire, or the document owner removes access.
7. No redistribution
Documents accessed through xINDEXHUB may not be copied, redistributed, transferred, sublicensed, disclosed, publicly displayed, or stored outside authorised systems without the document owner’s prior written consent.
8. Security
Receiving organisations must implement reasonable security measures to protect all Confidential Information against unauthorised access, use, copying, or disclosure.
9. Breach
If Confidential Information is accessed, used, or disclosed without authorisation, the receiving organisation must immediately notify xINDEXHUB and the document owner, cooperate in investigating the incident, and take reasonable steps to mitigate resulting harm.
10. Audit logs
The receiving organisation acknowledges that xINDEXHUB may record document access, downloads, sharing actions, login history, IP addresses, timestamps, and user identities for security, compliance, and legal purposes, as further described in the Privacy Notice.
11. Injunctive relief
The receiving organisation acknowledges that unauthorised disclosure may cause irreparable harm. Subject to applicable law, the document owner may seek injunctive relief, specific performance, or court orders preventing further disclosure, in addition to any other available remedies.
12. Damages
The receiving organisation is liable for direct losses resulting from its unauthorised disclosure or misuse of Confidential Information, subject to applicable law, the xINDEXHUB Terms of Agreement, and any limitations that cannot legally be excluded.
13. Survival
These confidentiality obligations continue for five years after access to the Confidential Information ends, unless a longer period is required by applicable law or agreed in writing. Obligations relating to information that remains protected as a trade secret continue for as long as that protection applies under law.
14. Governing law
This Agreement is governed by the federal laws of the United Arab Emirates and the laws applicable in the Emirate of Dubai. The courts specified in the xINDEXHUB Terms of Agreement have jurisdiction, unless applicable law or a signed order form requires otherwise.
15. Electronic acceptance
By accessing confidential documents through xINDEXHUB, the receiving organisation confirms that it has read, understood, and agrees to this Agreement. Electronic acceptance has the same legal effect as a handwritten signature to the extent permitted by applicable law.
